1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your use of the SMOOZZ platform ("Service"), operated by FutureMinds ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

SMOOZZ is an AI-powered media management platform that allows you to:

• Upload, store, and organize photos and videos in a private cloud environment
• Search your media library using natural language AI
• Generate cinematic reels with AI-assisted editing and music
• Analyze media for quality, content, and location data
• Manage team access for corporate accounts

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your password and for all activities under your account.
• You must be at least 16 years old to create an account.
• One person may not maintain more than one free account.
• Corporate accounts require a business email address (personal email providers such as Gmail, Hotmail, etc. are not accepted for corporate plans).

4. Subscription Plans & Payments

Free Plan

The free plan provides limited storage and features at no cost. We reserve the right to modify free plan limits at any time with reasonable notice.

Paid Plans (Individual & Corporate)

• Paid subscriptions are billed monthly through Stripe.
• Prices are displayed on our pricing page and are subject to change with 30 days' notice.
• Subscriptions renew automatically unless cancelled before the end of the billing period.
• You may cancel your subscription at any time through Account Settings or the Stripe Customer Portal.
• Upon cancellation, your account reverts to the free plan at the end of the current billing period.
• No refunds are provided for partial billing periods.

Downgrades

If you downgrade and your usage exceeds the new plan's limits, your media will remain accessible in read-only mode. You will need to delete media to fall within the new limits before uploading new content.

5. Your Content

Ownership

You retain all ownership rights to the media you upload. SMOOZZ does not claim any intellectual property rights over your content.

License to Us

By uploading content, you grant us a limited license to store, process, display (to you), and analyze your media solely for the purpose of providing the Service. This license ends when you delete your content or account.

AI Processing

Your media is processed by AI systems (including third-party APIs) to generate descriptions, tags, quality scores, and embeddings. We do not use your media to train AI models. AI-generated metadata is for your personal use within the Service.

Prohibited Content

You may not upload content that:

• Violates any law or regulation
• Infringes on the intellectual property rights of others
• Contains malware, viruses, or harmful code
• Is intended to harass, abuse, or harm others
• Contains child sexual abuse material (CSAM) — any such content will be immediately reported to authorities

We reserve the right to remove content that violates these terms and to terminate accounts that repeatedly violate them.

6. Privacy & Data Protection

Your privacy is important to us. Please refer to our Privacy Policy for detailed information on how we collect, use, store, and protect your data. Key points:

• Your media is stored in a private, isolated cloud bucket
• We never sell your personal data or media
• You can delete your account and all data at any time
• We comply with GDPR and applicable data protection regulations

7. Corporate Accounts

• The account creator ("Admin") is responsible for managing team members and ensuring compliance with these Terms.
• All team members share the corporate storage quota.
• The Admin may invite or remove team members at any time.
• If a company name is already registered, new users with the same business email domain may be added to the existing company. Users with different domains will be asked to contact their administrator.
• The Admin cannot delete the corporate account while team members remain active.

8. Service Availability

• We aim to provide 99.9% uptime but do not guarantee uninterrupted service.
• We may perform maintenance with reasonable advance notice when possible.
• We are not liable for any loss or damage resulting from service interruptions.

9. Intellectual Property

The SMOOZZ platform, including its design, code, features, and branding, is the intellectual property of FutureMinds. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind.
• We are not liable for any indirect, incidental, or consequential damages.
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not responsible for the accuracy of AI-generated metadata, descriptions, or quality scores.

11. Account Termination

• You may delete your account at any time through Account Settings.
• We may suspend or terminate your account for violation of these Terms, with notice when reasonably possible.
• Upon termination, your data will be permanently deleted within 30 days.
• Active subscriptions will be cancelled and no further charges will occur.

12. Changes to These Terms

We may update these Terms from time to time. Significant changes will be communicated via email or a notice on the platform. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of France. Any disputes shall be resolved in the courts of Paris, France.
